Modern Innovative Chemical Sdn. Bhd. is fully committed to providing the market with the highest quality professional chemical and pest control products that comply with international safety and environmental standards. As a compliant agent and distributor for internationally renowned brands (including Sumitomo Chemical SCEA), we are strictly bound by international legal contracts and product application specifications.
To ensure the legality and safety of all products in the market, and to safeguard the commercial interests and order of all legitimate PCO (Pest Control Operator) partners, MIC has formulated the following Product Purchase and Usage Compliance Code. Compliance with this code is a mandatory prerequisite for product supply by MIC, and all customers purchasing products from MIC must strictly abide by it.
I. Compliance & Use Restrictions
- Prohibited End-User Entities:
According to manufacturer compliance requirements, the customer explicitly acknowledges and agrees that specific branded products purchased from MIC (such as Mirakn, etc.) are strictly prohibited from being directly or indirectly supplied, sold, or applied to any Government Authorities, government departments, public facilities, and Government-Linked Companies (GLCs / State-Owned Entities).
Products are restricted solely to compliant areas such as private commercial buildings, residential properties, factories, private restaurants, and private institutions.
- Original Packaging & No Repacking:
Customers shall not reformulate, dilute, or sell different products using products purchased from MIC under a new product name, nor shall they unpack, decant, or repack the products without authorization (No Repacking).
The integrity of the manufacturer's original trademarks and labels must be maintained at all times.
- Professional Application Only:
The customer covenants that it possesses the relevant professional pest control qualifications and will operate strictly in accordance with the Product Material Safety Data Sheet (MSDS/SDS).
II. Legal Disclaimer & Liability Limitation
- Third-Party Breach Disclaimer:
Upon delivering products and providing this compliance notice to the customer, MIC shall be deemed to have fully fulfilled its obligation of upstream disclosure and legal restraint. If the customer breaches the above prohibitions, uses products in restricted areas without authorization, repacks products, or operates improperly, any resulting legal proceedings, government fines, contractual liquidated damages, or third-party damages shall be entirely unrelated to MIC. The customer shall assume all legal and financial liabilities.
- Right of Recourse & Cancellation of Partnership:
Upon discovering any intentional or grossly negligent breach of this code by the customer, MIC reserves the right to immediately terminate product supply, cancel customer eligibility, and retain the right to seek full compensation for all economic losses caused to MIC's brand reputation and upstream Japanese manufacturers due to the customer's non-compliance.
